Welcome to botaplace.com (“Platform,” “we,” “us,” or “our”). These Terms of Service (“Agreement”) govern your use of our platform and services. By accessing or using botaplace.com, and/or bota apps you agree to be bound by this Agreement.

botaplace.com and bota apps provide a marketplace where users (“Sellers” or “Service Providers”) can sell goods or services, and customers (“Buyers”) can make purchases. We use Stripe Connect to process all payments.

We do not act as a bank, money transmitter, or financial institution. Stripe is the sole payment processor, and all transactions are subject to Stripe’s Terms.

3. STRIPE CONNECT & PAYMENT PROCESSING

3.1 Third-Party Payment Processor

  • We use Stripe Connect to facilitate payments.
  • By using our platform, you agree to Stripe’s Connected Account Agreement (Link to Stripe Agreement).
  • Stripe may collect, verify, and store your financial information in compliance with Know Your Customer (KYC) and Anti-Money Laundering (AML) laws.

3.2 Payment Authorization

By listing goods or services on our platform, you authorize:

  • Stripe to collect and process payments on your behalf.
  • Stripe to deposit payouts into your connected bank account
  • Us to deduct any applicable fees before payouts are made.

3.3 Payouts & Holds

  • Payouts are processed according to Stripe’s payout schedule.
  • We reserve the right to place holds on payments for risk management or fraud prevention.

3.4 Chargebacks & Disputes

  • Buyers may file chargebacks or disputes through Stripe.
  • You are responsible for resolving chargebacks and may be required to refund disputed transactions.
  • We may deduct chargeback fees from your payout balance.

4. ACCOUNT REGISTRATION & VERIFICATION

To use our services, you must create an account and provide:

  • Full legal name
  • Email address
  • Phone number
  • Government-issued ID (for Sellers)
  • Bank account details for payouts

We reserve the right to approve, reject, or suspend accounts that fail verification.

5. FEES & TAXES

5.1 Platform Commission

Bota applies a standard 15% platform commission based on the original selling price entered by the seller. This commission is incorporated into the listed discount price and automatically deducted prior to payout. Sellers do not pay separate transaction fees; payment processing and platform costs are covered within the 15% commission structure.

5.2 Payment Processing Fees

Payment processing fees (View Stripe Fees) are absorbed by Bota and included within the platform commission. Sellers are not charged separate payment processing fees.

5.3 Taxes

Bota collects applicable taxes (GST, VAT, sales tax, etc.) at the time of transaction, where required. Taxes related to the Net Selling Price are remitted back to the sellers for onward reporting and payment to the appropriate government authorities. Sellers are responsible for ensuring compliance with all applicable tax laws in their jurisdiction. Bota does not file or remit taxes on behalf of sellers unless legally required.

6. PROHIBITED ACTIVITIES

You must not use the Bota platform to engage in any of the following activities:

6.1 Illegal Activities

  • Engaging in money laundering, fraud, or illegal transactions of any kind.
  • Offering goods, services, or activities that violate any applicable local, national, or international laws.

6.2 Prohibited Items and Services

  • Listing or selling prohibited goods, including but not limited to: firearms, explosives, weapons, illegal drugs, counterfeit goods, stolen property, endangered species, or any goods infringing upon intellectual property rights.
  • Offering services that promote or facilitate illegal activities, including hacking, phishing, malware distribution, or any form of cybercrime.
  • Promoting or facilitating adult content, adult services, pornography, or sexually explicit material.
  • Offering gambling, lottery, betting services, or sweepstakes without appropriate licensing.

6.3 Payment Violations

  • Circumventing or attempting to circumvent Bota’s integrated payment system.
  • Processing payments for goods or services outside the Bota platform to avoid platform commissions.
  • Offering or soliciting direct transactions or off-platform deals.

6.4 Prohibited Business Models

  • Promoting or participating in multi-level marketing (MLM) schemes, pyramid schemes, "get-rich-quick" programs, or deceptive financial products.
  • Offering unlicensed financial services, including but not limited to, foreign exchange services, cryptocurrency sales, securities, or investment products.

6.5 User Conduct Violations

  • Engaging in harassment, abusive behavior, hate speech, discrimination, or threatening language toward other users or Bota representatives.
  • Posting misleading, deceptive, fraudulent, or false information regarding goods, services, pricing, or availability.
  • Attempting to gain unauthorized access to other user accounts, Bota’s systems, or sensitive data.
  • Uploading or transmitting viruses, malicious code, or engaging in any activity that compromises the security or integrity of the platform.

6.6 Data Privacy Violations

  • Collecting or soliciting personally identifiable information from other users outside of what is necessary for a legitimate transaction conducted via the platform.
  • Attempting to gain unauthorized access to other user accounts, Bota’s systems, or sensitive data.

We reserve the right to suspend or terminate accounts that violate these terms.

7. REFUND & CANCELLATION POLICY

  • Sellers must clearly define refund policies on their product or service listings.
  • Refund requests will be handled directly by the Seller, except in cases of fraud or chargebacks.
  • Stripe reserves the right to refund payments to buyers in case of disputes

8. LIABILITY & DISCLAIMERS

  • We are NOT responsible for any disputes, fraud, or losses related to transactions between users.
  • All payments and financial transactions are processed by Stripe, and we disclaim liability for payment processing issues.
  • We do not provide warranties for products or services sold by third parties on our platform.

9. ACCOUNT TERMINATION & SUSPENSION

We may suspend or terminate your account if:

  • You violate these Terms or Stripe’s policies.
  • You engage in fraudulent or illegal activities.
  • Your account is inactive for 6 months.

10. PRIVACY & DATA PROTECTION

  • We collect and store your personal and payment information in compliance with GDPR, PIPEDA, and CCPA.
  • Payment details are securely processed through Stripe (we do not store credit card details).
  • You can review our Privacy Policy

11. DISPUTE RESOLUTION

  • Any disputes related to payments will be resolved throughStripe’s dispute process.
  • Legal disputes will be governed by the laws of Canada and settled through arbitration.

12. MODIFICATIONS TO TERMS

We may update these Terms at any time. Users will be notified via email or a platform notice 5 days before changes take effect.
