Payout & Fees Policy

1. Introduction

This Payout & Fees Policy outlines the structure of fees and payout processes on botaplace.com ("Platform"). By using our services, you agree to the terms in this policy, including Stripe’s payment processing fees.

2. Platform Fees

  • Service Fee: 15% platform commission based on the original selling price entered by the seller, which is deducted before payout.
  • Stripe Processing Fees: Payment processing fees e.g (View Stripe Fees) are absorbed by Bota and included within the platform commission. Sellers are not charged separate payment processing fees.
  • Additional Fees: Fees may apply for chargebacks, refunds, or expedited payouts.

3. Payout Schedule

  • 3.1 Payout Processing
    Bota utilizes Stripe Connect to facilitate direct payouts to sellers upon the successful completion of a transaction. Seller funds are not held by Bota beyond the duration necessary to complete payment processing through Stripe.
  • 3.2 Payout Timing
    Payouts are initiated immediately following transaction completion. Stripe’s standard settlement time may vary between 1 to 3 business days depending on the seller’s financial institution and account verification status.
  • 3.3 Minimum Payout Amount
    There is no minimum payout threshold required for sellers unless imposed by Stripe, the seller’s payment provider, or applicable financial regulations.

  • 3.4 Payout Delays
    While Bota strives to ensure timely payouts, delays may occur due to:
    • Fraud prevention protocols
    • Regulatory compliance reviews
    • Seller account verification issues
    • External bank or financial institution processing times
    • In such cases, payouts may be temporarily held until the necessary reviews and verifications are completed.
  • 3.5 No Fund Custody
    At no point does Bota exercise custody over seller funds. All payments are processed and transferred directly through Stripe Connect in accordance with applicable payment laws and regulations.

4. Payout Methods

  • 4.1 Payout Channel
    Payouts are made via direct bank transfer to the seller’s connected Stripe account. Sellers are responsible for maintaining accurate and up-to-date banking information within their Stripe account settings.
  • 4.2 Payment Processing Fees
    All payouts are subject to Stripe's standard payment processing fees, which are included within the platform’s 15% commission structure. Sellers are not charged additional separate Stripe transaction fees beyond the agreed platform commission. However, in cases of refunds, chargebacks, or disputes, Stripe may apply additional fees (e.g., a CAD $15 chargeback fee).
  • 4.3 Failed Payouts
    If a payout fails due to incorrect or invalid banking details provided by the seller, a reprocessing fee may be applied. The standard reprocessing fee for failed payouts is $15 CAD (subject to change based on Stripe’s policies and applicable bank charges).
  • 4.4 Seller Responsibility
    Sellers are solely responsible for ensuring the accuracy of their linked banking information. Bota is not liable for delayed or failed payouts arising from incorrect account details, closed bank accounts, or financial institution issues.

5. Withheld & Delayed Payments

5.1 Conditions for Payment Holds
Bota may temporarily withhold payments to sellers in the following circumstances:

  • A transaction is flagged for suspected fraud, unauthorized activity, or security review.
  • A chargeback or payment dispute is filed against a seller's transaction.
  • The seller fails to complete required identity verification or account compliance checks as mandated by Stripe or applicable regulations.
  • nusual or suspicious activity is detected on the seller’s account, including but not limited to a significant increase in refund or dispute rates.

5.2 Duration of Hold
Withheld payments may be released after up to 90 days following a thorough review and successful resolution of the flagged issue, subject to Stripe’s and Bota’s internal compliance policies.

5.3 Additional Verification Requirements
Bota and/or Stripe may require additional documentation, such as proof of fulfillment, identification documents, or banking verification, before releasing held funds.

5.4 Seller Cooperation
Sellers are expected to promptly cooperate with any requests for information or documentation related to payment reviews. Failure to provide requested documentation within the specified timeframe may result in extended payment holds or account suspension.

6. Refunds & Adjustments

  • 6.1 Refund Processing
    If a refund is issued to a buyer, the corresponding refunded amount will be deducted directly from the seller’s available balance on their connected Stripe account.
  • 6.2 Insufficient Balance
    If the seller’s available balance is insufficient to cover the full refund amount, Stripe may debit the seller’s connected external bank account to recover the outstanding balance, in accordance with Stripe's Connected Account Agreement.
  • 6.3 Associated Fees
    In addition to the refunded amount, sellers are responsible for any associated Stripe fees, including but not limited to payment processing fees and chargeback fees, which are non-refundable.
  • 6.4 Seller Responsibility
    Sellers acknowledge and agree that they are solely responsible for honoring refunds, adjustments, and any resulting financial obligations arising from buyer disputes or refunds processed through Bota.

7. Account Termination & Payouts

  • 7.1 Final Payouts After Termination
    If a seller’s account is terminated, any remaining balance will be subject to a holding period of up to 90 days to accommodate potential chargebacks, refunds, payment disputes, or regulatory compliance reviews.
  • 7.2 Unclaimed Funds
    If a seller fails to claim their final payout, or if payout attempts are unsuccessful due to inaccurate banking information or lack of account access, Bota reserves the right to classify the funds as unclaimed. Unclaimed payouts may be forfeited after12 months from the date of account termination, in accordance with applicable unclaimed property laws.
  • 7.3 Chargebacks and Refund Adjustments During the holding period, any chargebacks, refunds, or fees incurred will be deducted from the seller’s final balance. If the final balance is insufficient to cover outstanding obligations, Stripe may debit the seller’s connected bank account.
  • 7.4 Seller Notification Bota will make reasonable efforts to notify sellers regarding pending final payouts and any required actions before funds are forfeited.

8. Updates to This Policy

We may update this policy periodically. Continued use of the platform constitutes acceptance of any revised terms.
